1. Purpose. Heath Home Dispatch ("Company") connects homeowners with independent local service providers. Company refers leads only — it does not perform, supervise, or guarantee any service work.
2. Independent Contractor Status. Contractor is an independent business, not an employee or agent of Company. Contractor is responsible for their own taxes, licensing, insurance, and workers' compensation.
3. Representations. Contractor represents that all submitted information is accurate, and that they hold all licenses, permits, bonding, and insurance required by law for their trade, providing proof on request.
4. Insurance. Contractor represents they carry general liability insurance (and other coverage required for their trade) sufficient for their work.
5. Lead Fees. Contractor pays a per-lead fee at the rate communicated when a lead is sent. Company does not guarantee lead volume, exclusivity, or job outcomes.
6. Non-Circumvention. Repeat work with a homeowner from an original referred lead doesn't owe a second fee, provided the original lead was reported honestly; Contractor won't help a homeowner dodge the fee on the original referred job.
7. Homeowner Interactions. Contractor will respond to leads promptly and professionally, will not misrepresent their relationship to Company, and will not resell or misuse homeowner contact information.
8. No Liability for Contractor's Work. Company is not responsible for the quality, safety, or outcome of Contractor's work. Contractor indemnifies Company against claims arising from their work or conduct, capped as described in the full agreement.
9. Confidentiality. Contractor will keep homeowner information confidential and use it only to complete the referred job.
10. Term & Termination. Either party may terminate this agreement at any time, for any reason. Fees already owed for delivered leads remain due.
11. Dispute Resolution. Disputes are resolved first by good-faith negotiation, then binding arbitration in Rockwall County, Texas.
12. Governing Law. This agreement is governed by the laws of the State of Texas.
13. Acceptance. Checking "I agree" and submitting the application constitutes electronic signature and acceptance of this agreement.
